1. Acceptance of Terms

By accessing or using Voiact ('Service'), you agree to be bound by these Terms of Service ('Terms'). If you do not agree to these Terms, do not use the Service.

2. Description of Service

Voiact is an AI-powered assistant that integrates with Trello to help you manage your boards using natural language voice or text commands via web chat or optional Telegram integration.

2.1 Service Features

• Voice and text command processing via Web Chat and optional Telegram
• Trello card creation, updating, and management
• Gmail integration: searching, reading, composing, and sending emails on your behalf
• Google Calendar integration: viewing, creating, updating, and deleting calendar events on your behalf
• Google Drive integration: searching, reading, and managing files, documents, and spreadsheets on your behalf
• AI-powered natural language understanding
• Multi-language support

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibilities

• You must be at least 16 years old to use the Service
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• You may not share your account with others

4. Subscription Plans and Pricing

4.1 Available Plans

• Free Trial: 30 AI requests per month, no credit card required
• Pro: $9.99/month or $99.99/year, 200 AI requests per month
• Business: Custom pricing for teams and enterprises, contact support

4.2 Payment Processing (Paddle)

All payments are processed by Paddle.com Market Limited ('Paddle'), our authorized Merchant of Record. By subscribing to a paid plan, you agree to Paddle's Terms of Service.

• Paddle is the seller of record for all paid subscriptions
• Paddle handles all billing, invoicing, and payment processing
• Paddle calculates and collects applicable taxes (VAT/sales tax) based on your location
• Invoices and receipts will be issued by Paddle
• We do not store your full credit card details on our servers

4.3 Billing Cycle and Automatic Renewal

• Subscriptions are billed on a recurring monthly basis
• Your subscription will automatically renew at the end of each billing period unless cancelled
• You will be charged on the same day each month
• Paddle will send you a receipt for each payment

4.4 Request Limits and Usage

• AI request limits reset at the beginning of each billing period
• Unused requests do not roll over to the next period
• You can monitor your usage and remaining requests on your dashboard
• Upgrading your plan takes effect immediately with prorated billing

4.5 Cancellation

• You may cancel your subscription at any time from your account settings
• Upon cancellation, you retain access to paid features until the end of your current billing period
• After the billing period ends, your account will revert to the Free Trial plan
• No partial refunds are provided for unused time within a billing period

4.6 Refund Policy

Refund requests are handled by Paddle as our Merchant of Record.

• Refunds may be granted within 14 days of purchase if the service did not function as described
• Technical issues that completely prevent service usage may qualify for a full refund
• Refunds are processed to the original payment method within 5-10 business days
• We reserve the right to deny refund requests for abuse or after substantial service usage
• To request a refund, contact support@voiact.com with your account email and reason for the request

4.7 Price Changes

We reserve the right to modify pricing at any time. Changes will be communicated as follows:

• Existing subscribers will receive at least 30 days' notice before any price increase affects their subscription
• You may cancel before the new pricing takes effect
• Continued use after the notice period constitutes acceptance of the new pricing

4.8 Failed Payments

• If a payment fails, Paddle will attempt to retry the charge
• You will be notified of failed payments via email
• Continued payment failures may result in subscription suspension
• You can update your payment method through the customer portal provided by Paddle

5. Acceptable Use

5.1 Permitted Use

You may use the Service only for lawful purposes and in accordance with these Terms.

5.2 Prohibited Activities

You agree NOT to:

• Use the Service for any illegal purpose
• Violate any applicable laws or regulations
• Infringe upon the rights of others
• Transmit any harmful code, viruses, or malware
• Attempt to gain unauthorized access to our systems
• Reverse engineer or attempt to extract source code
• Use the Service to spam or send unsolicited messages
• Abuse, overload, or attempt to disrupt our systems
• Resell or redistribute the Service without permission
• Create multiple accounts to abuse free trial limits
• Use automated systems to access the Service in a manner that exceeds reasonable use

6. Third-Party Services

Our Service integrates with third-party services. Your use of these services is subject to their respective terms:

• Trello: Atlassian Cloud Terms
• Telegram: Telegram Terms of Service
• Paddle: Paddle Terms of Service
• Google: Google Terms of Service (Gmail, Calendar, Drive)

We are not responsible for the availability, performance, or policies of third-party services.

7. Google API Integration

7.1 Authorization and Scope of Access

By connecting your Google account to Voiact, you authorize us to access specific Google services on your behalf. You will be prompted by Google's OAuth consent screen to grant the following permissions:

• Gmail (Read-Only): To search and read your email messages in order to extract tasks, summarize content, or identify action items as instructed by you.
• Gmail (Send): To compose and send emails or replies on your behalf when you explicitly instruct the Service to do so.
• Google Calendar (Events): To view, create, update, and delete calendar events on your behalf when you explicitly instruct the Service to do so.

You may revoke these permissions at any time through the Voiact dashboard or directly via your Google Account settings.

7.2 Automated Actions and User Responsibility

You acknowledge and agree that:

• Voiact performs actions on your Google account only in response to your explicit instructions provided via text or voice commands.
• You are solely responsible for the instructions you provide to the Service, including any emails sent, calendar events created, or files modified on your behalf.
• You should review AI-generated content (such as draft emails or event details) before confirming actions where possible.
• You are responsible for ensuring that your use of the Service complies with your organization's policies regarding third-party access to Google Workspace.

7.3 AI-Generated Outputs

The Service uses artificial intelligence to interpret your commands and generate outputs such as email drafts, task summaries, and calendar event details. You acknowledge that:

• AI-generated outputs may contain errors, inaccuracies, or unintended content.
• Voiact does not guarantee the accuracy, completeness, or appropriateness of any AI-generated content.
• You are responsible for reviewing and verifying AI-generated outputs before they are sent or acted upon.
• Voiact shall not be liable for any consequences arising from AI-generated content that you authorize to be sent or executed.

7.4 Data Handling

Voiact does not store the contents of your emails. Email content is processed temporarily in application memory to fulfill your request and is discarded immediately thereafter. Only derived outputs (such as task summaries) may be stored. For complete details, see our Privacy Policy.

8. Intellectual Property

8.1 Our Property

The Service, including all content, features, and functionality, is owned by Voiact and is protected by copyright, trademark, and other intellectual property laws.

8.2 Your Content

You retain ownership of any content you create using the Service. By using the Service, you grant us a limited license to process your commands and access your Trello, Gmail, Google Calendar, and Google Drive data solely to provide the Service.

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your information.

10. Disclaimer of Warranties

THE SERVICE IS PROVIDED 'AS IS' AND 'AS AVAILABLE' WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT:

• The Service will be uninterrupted or error-free
• Defects will be corrected
• The Service is free of viruses or harmful components
• Results obtained from the Service will be accurate or reliable
• AI responses will always be correct or appropriate

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOIACT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the 12 months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Voiact from any claims, damages, losses, liabilities, and expenses arising from your use of the Service or violation of these Terms.

13. Service Modifications and Termination

13.1 Service Changes

We reserve the right to modify, suspend, or discontinue the Service at any time. We will provide reasonable notice for significant changes that affect your subscription.

13.2 Account Termination

• We may terminate or suspend your account immediately, without prior notice, if you breach these Terms
• You may terminate your account at any time from your account settings
• Upon termination, your right to use the Service ceases immediately
• We may retain certain data as required by law or for legitimate business purposes

14. Dispute Resolution

14.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Turkey, without regard to its conflict of law provisions.

14.2 Dispute Resolution Process

Before initiating any legal proceedings, you agree to contact us at support@voiact.com to attempt to resolve the dispute informally. We will attempt to resolve any dispute within 30 days.

14.3 Arbitration

Any dispute that cannot be resolved informally shall be resolved through binding arbitration in accordance with Turkish law, except where prohibited by law.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

• Posting the new Terms on this page
• Updating the 'Last updated' date
• Sending you an email notification for significant changes

Your continued use of the Service after changes constitutes acceptance of the new Terms.

17.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Voiact regarding the Service.

17.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

17.3 Waiver

No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term.

17.4 Assignment

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
